By accessing wurrent.com, booking a free Audit Call, subscribing to Wurrent's newsletter, or entering into a service engagement with Wurrent Advertising ("Wurrent", "we", "us", or "our"), you ("Client", "you") agree to be legally bound by these Terms of Service ("Terms") in their entirety.
If you are accessing or using Wurrent's services on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" refers to that entity.
These Terms are to be read alongside Wurrent's Privacy Policy and any separate Engagement Agreement or Statement of Work signed between the parties. In the event of a conflict, the Engagement Agreement takes precedence over these Terms for matters specific to that engagement.
Wurrent is an AI-powered omnichannel growth agency founded in 2015. We provide paid advertising management, growth strategy, and related digital marketing services to brands globally, with primary operations in Bengaluru, India and Palo Alto, USA.
The specific scope, deliverables, timelines, and fees for each client engagement are set out in a separate Engagement Agreement or Statement of Work. Wurrent reserves the right to modify, suspend, or discontinue any service offering with reasonable notice. Wurrent may decline to provide services to any party at its sole discretion.
Successful advertising outcomes require active collaboration between Wurrent and the client. By engaging Wurrent, you agree to fulfil the following responsibilities throughout the engagement.
Wurrent's service fees, payment schedules, and billing terms are set out in the Engagement Agreement or proposal specific to your engagement. The following general terms apply to all client engagements unless expressly varied in writing.
| Payment Term | Detail |
|---|---|
| Fee structure | Wurrent charges a management fee for its services. This is separate from and in addition to the ad spend you pay directly to advertising platforms. Media spend is not included in Wurrent's fees. |
| Invoicing | Invoices are raised at the frequency specified in the Engagement Agreement (typically monthly in advance). All fees are quoted and payable in Indian Rupees (INR) unless otherwise agreed in writing. |
| Payment terms | Invoices are due within 7 days of issuance unless otherwise agreed. Wurrent reserves the right to pause or suspend services if payment is overdue by more than 7 days. |
| Taxes | All fees are exclusive of applicable taxes including GST (Goods and Services Tax) as applicable under Indian law. GST will be charged in addition to the quoted fee at the prevailing rate. |
| Disputed invoices | Any dispute regarding an invoice must be raised in writing within 5 business days of receipt. Undisputed portions of an invoice remain payable by the original due date. |
| Late payment | Overdue amounts accrue interest at 1.5% per month (18% per annum) from the due date until the date of actual payment, in addition to Wurrent's right to suspend services. |
Wurrent does not charge for the initial free Audit Call. Any subsequent paid engagement requires a signed Engagement Agreement.

Confidentiality obligations survive termination of the engagement for a period of 3 years. Exceptions apply where disclosure is required by a court order, statutory authority, or applicable law — in which case the disclosing party will provide prompt notice to the other party where permitted by law.
