These Terms govern your use of wurrent.com and your engagement with Wurrent's advertising management and growth strategy services. By accessing our website or engaging our services, you agree to be bound by these Terms.

Section 01
Acceptance of Terms

By accessing wurrent.com, booking a free Audit Call, subscribing to Wurrent's newsletter, or entering into a service engagement with Wurrent Advertising ("Wurrent", "we", "us", or "our"), you ("Client", "you") agree to be legally bound by these Terms of Service ("Terms") in their entirety.

If you are accessing or using Wurrent's services on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" refers to that entity.

These Terms constitute a binding legal agreement between you and Wurrent. If you do not agree to any part of these Terms, you must not access wurrent.com or use any of Wurrent's services. Continued use of the website or services after any update to these Terms constitutes acceptance of the revised Terms.
These Terms apply to
  • All visitors to wurrent.com, whether or not they engage Wurrent's paid services
  • All brands, companies, and individuals who engage Wurrent for advertising management, strategy, or any related service
  • All agencies that engage Wurrent for white-label paid media services
  • All users who download resources, subscribe to newsletters, or participate in surveys via wurrent.com
  • All parties who receive or access Wurrent's research, whitepapers, reports, or published content

These Terms are to be read alongside Wurrent's Privacy Policy and any separate Engagement Agreement or Statement of Work signed between the parties. In the event of a conflict, the Engagement Agreement takes precedence over these Terms for matters specific to that engagement.

Section 02
Services We Provide

Wurrent is an AI-powered omnichannel growth agency founded in 2015. We provide paid advertising management, growth strategy, and related digital marketing services to brands globally, with primary operations in Bengaluru, India and Palo Alto, USA.

Core services offered by Wurrent
  • Paid media management — end-to-end campaign management across Google Ads, Meta, Amazon, TikTok, LinkedIn, Pinterest, Snapchat, Reddit, X, Spotify, YouTube, and Microsoft Advertising
  • Omnichannel growth strategy — customer research and profiling, business model analysis, funnel architecture, platform mix planning, and budget allocation strategy
  • VIBE platform deployment — implementation of Wurrent's proprietary AI-powered ad operations platform for automated campaign management and optimisation
  • Creative direction — ad hooks, scripts, creative briefs, and UGC direction to support high-converting paid creative production
  • Performance reporting — live dashboards, weekly/monthly performance reports, attribution analysis, and growth reviews
  • Server-side tracking setup — implementation of privacy-compliant, accurate conversion tracking using tools such as Blotout and CookieYes
  • White-label services — full-service white-label paid media management for digital agencies, delivered under the agency's brand
  • Free Audit Call — a complimentary 30-minute strategy session with a senior Wurrent strategist, offered to qualifying brands with no obligation to engage paid services

The specific scope, deliverables, timelines, and fees for each client engagement are set out in a separate Engagement Agreement or Statement of Work. Wurrent reserves the right to modify, suspend, or discontinue any service offering with reasonable notice. Wurrent may decline to provide services to any party at its sole discretion.

Results disclaimer: Wurrent provides growth strategy and advertising management services. While we are committed to delivering the best possible outcomes and our track record includes an average 8.7x ROAS and $87M+ in client revenue, specific results cannot be guaranteed. Advertising performance depends on factors including but not limited to product-market fit, creative quality, audience conditions, platform algorithm changes, market competition, and ad spend levels.
Section 03
Client Responsibilities

Successful advertising outcomes require active collaboration between Wurrent and the client. By engaging Wurrent, you agree to fulfil the following responsibilities throughout the engagement.

You agree to
  • Provide accurate information — supply complete, truthful, and up-to-date information about your business, products, target audience, budgets, and objectives. Inaccurate information may materially impair Wurrent's ability to deliver results.
  • Grant necessary access — provide Wurrent with the required access to your advertising accounts, website analytics, and relevant platforms in a timely manner to enable service delivery.
  • Timely approvals — review and approve or provide feedback on creative briefs, strategy proposals, campaign structures, and reports within agreed timelines. Delays caused by the client may affect campaign launch dates and performance outcomes, for which Wurrent bears no responsibility.
  • Adequate ad spend — maintain sufficient advertising budget and ensure timely payment of media spend directly to the relevant ad platforms. Wurrent does not hold or advance client media budgets.
  • Comply with platform policies — ensure your products, services, and creative assets comply with the advertising policies of all relevant platforms. Wurrent will not knowingly submit non-compliant creatives but bears no liability for account suspensions arising from policy violations attributable to the client.
  • Designate a point of contact — appoint a primary contact person with decision-making authority to liaise with your dedicated Wurrent strategist on a regular basis.
  • Lawful use — use Wurrent's services only for lawful purposes and in compliance with all applicable Indian laws and the laws of the jurisdiction in which you operate.
Important: Wurrent's ability to deliver results is directly dependent on the quality and timeliness of client inputs, approvals, and ad spend. Wurrent shall not be held liable for performance shortfalls caused by delayed approvals, insufficient budget, inaccurate briefs, or failure to implement Wurrent's recommendations.
Section 04
Fees & Payment

Wurrent's service fees, payment schedules, and billing terms are set out in the Engagement Agreement or proposal specific to your engagement. The following general terms apply to all client engagements unless expressly varied in writing.

Payment TermDetail
Fee structureWurrent charges a management fee for its services. This is separate from and in addition to the ad spend you pay directly to advertising platforms. Media spend is not included in Wurrent's fees.
InvoicingInvoices are raised at the frequency specified in the Engagement Agreement (typically monthly in advance). All fees are quoted and payable in Indian Rupees (INR) unless otherwise agreed in writing.
Payment termsInvoices are due within 7 days of issuance unless otherwise agreed. Wurrent reserves the right to pause or suspend services if payment is overdue by more than 7 days.
TaxesAll fees are exclusive of applicable taxes including GST (Goods and Services Tax) as applicable under Indian law. GST will be charged in addition to the quoted fee at the prevailing rate.
Disputed invoicesAny dispute regarding an invoice must be raised in writing within 5 business days of receipt. Undisputed portions of an invoice remain payable by the original due date.
Late paymentOverdue amounts accrue interest at 1.5% per month (18% per annum) from the due date until the date of actual payment, in addition to Wurrent's right to suspend services.

Wurrent does not charge for the initial free Audit Call. Any subsequent paid engagement requires a signed Engagement Agreement.

Section 05
Intellectual Property

This section sets out clearly who owns what in the context of Wurrent's engagement — protecting both parties' intellectual property.

Wurrent's intellectual property
  • VIBE platform — the VIBE AI platform, its underlying technology, algorithms, software, and methodologies are the exclusive intellectual property of Wurrent. No licence to use VIBE independently is granted to the client.
  • Wurrent's processes & frameworks — all growth frameworks, strategy templates, onboarding systems, reporting formats, and operational methodologies developed by Wurrent are proprietary and confidential. Clients may not replicate, share, or commercialise these without written consent.
  • Website content — all text, graphics, images, videos, whitepapers, reports, and other content on wurrent.com is owned by or licensed to Wurrent and protected under applicable Indian copyright law. Reproduction without written permission is prohibited.
  • Research & publications — all whitepapers, benchmarking reports, industry analyses, and published research produced by Wurrent remain Wurrent's intellectual property, even where they draw on aggregated, anonymised client data.
Client's intellectual property
  • Brand assets — all logos, trademarks, brand guidelines, creative assets, product images, and other materials provided by the client remain the client's exclusive property. Wurrent uses these solely to deliver agreed services.
  • Ad account data — all data within client advertising accounts — campaigns, audiences, conversion data, spend history — belongs to the client. Upon termination, Wurrent will return or delete all client materials held by our team.
  • Campaign deliverables — creative briefs, ad copy, strategy documents, and reports produced specifically for a client under a paid Engagement Agreement become the client's property upon full payment of all outstanding fees.
Wurrent retains the right to reference a client engagement for marketing or portfolio purposes (e.g., "We work with brands in X sector") without disclosing confidential information. Named case studies require the client's explicit prior written consent.
Section 06
Confidentiality

Both parties acknowledge that in the course of an engagement, each may receive or have access to confidential information belonging to the other. Both parties agree to maintain strict confidentiality regarding such information.

What constitutes confidential information
  • Business strategies, plans, pricing, financial data, and performance metrics
  • Client ad account data, audience data, campaign structures, and conversion rates
  • Wurrent's proprietary methodologies, VIBE platform details, and internal processes
  • Customer lists, supplier arrangements, and contractual terms
  • Any information marked as confidential or that a reasonable party would understand to be confidential given its nature and context
Obligations of both parties
  • Not to disclose confidential information to any third party without prior written consent of the disclosing party
  • To use confidential information solely for the purpose of the engagement
  • To protect confidential information with at least the same degree of care used to protect one's own confidential information, but in no case less than reasonable care
  • To limit internal access to confidential information to those who need it to fulfil the engagement

Confidentiality obligations survive termination of the engagement for a period of 3 years. Exceptions apply where disclosure is required by a court order, statutory authority, or applicable law — in which case the disclosing party will provide prompt notice to the other party where permitted by law.

Section 07
Warranties & Disclaimers

Wurrent provides its services professionally and to a high standard. However, the nature of digital advertising involves inherent uncertainties, and the following disclaimers are necessary and enforceable.

Wurrent warrants that it will
  • Deliver services with reasonable care, skill, and professionalism consistent with industry standards
  • Assign qualified, experienced personnel to each client engagement
  • Comply with all applicable Indian laws in the performance of its services
  • Handle client data in accordance with its Privacy Policy and the DPDP Act, 2023
  • Act in the best commercial interests of the client in managing ad budgets and campaign strategy
No guarantee of results. Wurrent does not warrant, guarantee, or promise any specific advertising results, revenue outcomes, ROAS levels, traffic volumes, conversion rates, or other performance metrics. All performance data published by Wurrent (including average ROAS figures) represents historical results and is not a guarantee of future performance for any specific client.
Wurrent is not responsible for
  • Changes to advertising platform policies, algorithms, or pricing that affect campaign performance
  • Account suspensions or policy violations attributable to the client's products, services, or creatives
  • Performance shortfalls caused by insufficient ad spend, delayed approvals, or failure to implement recommendations
  • Third-party tools, platforms, or technology failures outside Wurrent's control
  • Market conditions, competitive landscape changes, or macro-economic factors affecting advertising costs or returns
  • Inaccurate or incomplete information provided by the client

Wurrent's website and all content published on wurrent.com are provided on an "as is" basis. Wurrent makes no warranties — express or implied — regarding the accuracy, completeness, or fitness for a particular purpose of any website content.

Section 08
Limitation of Liability

To the maximum extent permitted by applicable Indian law, Wurrent's total liability to a client in connection with any engagement — whether arising in contract, tort (including negligence), or otherwise — is limited as follows.

Aggregate cap — Wurrent's total liability shall not exceed the total fees paid by the client to Wurrent in the 3 months immediately preceding the event giving rise to the claim.All claims combined arising from a single engagement

Ad spend exclusion — Wurrent is not liable for the loss or misapplication of client ad spend paid directly to advertising platforms. Clients are responsible for maintaining sufficient platform balance and monitoring their own accounts.Media spend paid to Google, Meta, Amazon, and other platforms
Website use — Wurrent is not liable for any loss or damage arising from the use of, or inability to use, wurrent.com or any linked third-party websites.Website visitors and users
Nothing in these Terms limits Wurrent's liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable Indian law.
Section 09
Termination

Either party may terminate a service engagement in accordance with the termination provisions set out in the relevant Engagement Agreement. In the absence of specific provisions, the following terms apply.

Termination rights
  • By either party — notice — either party may terminate an ongoing engagement with 30 days' written notice to the other party. Services will continue and fees will remain payable through the notice period.
  • By Wurrent — for cause — Wurrent may terminate immediately if the client: fails to pay invoices within 14 days of the due date; provides materially false or misleading information; breaches these Terms or the Engagement Agreement in a manner that is not remedied within 7 days of written notice; or engages in conduct that is unlawful, abusive, or harmful to Wurrent's team or reputation.
  • By client — for cause — the client may terminate immediately if Wurrent materially breaches the Engagement Agreement and fails to remedy the breach within 14 days of written notice.
Effect of termination
  • All outstanding fees for services delivered up to the termination date become immediately due and payable
  • Wurrent will promptly remove its access from all client advertising accounts
  • Each party will return or destroy the other's confidential information within 14 days, subject to any legal retention requirements
  • Clauses relating to confidentiality, intellectual property, limitation of liability, and governing law survive termination
  • Wurrent will deliver a final performance report covering the period up to termination within 14 days

Termination of a service engagement does not affect a client's right to access wurrent.com or use freely available resources on the website.

Section 10
Website Use & Acceptable Use

Access to wurrent.com is permitted for the purpose of learning about Wurrent's services, accessing published resources, and engaging with Wurrent's team. The following restrictions apply to all website users.

You must not
  • Use wurrent.com for any unlawful purpose or in violation of applicable Indian law
  • Scrape, copy, reproduce, or republish any content from wurrent.com without Wurrent's prior written permission
  • Attempt to gain unauthorised access to any part of wurrent.com, its servers, or any system connected to it
  • Introduce viruses, malicious code, or any other material that is harmful or disruptive to wurrent.com
  • Use automated tools (bots, crawlers, scrapers) to access wurrent.com except as expressly permitted for standard search engine indexing
  • Frame or mirror wurrent.com on any other website without Wurrent's prior written consent
  • Use Wurrent's name, logo, or trademarks without prior written permission

Wurrent reserves the right to restrict or terminate access to wurrent.com for any user who violates these acceptable use terms or engages in conduct that Wurrent reasonably considers harmful to the website, its users, or Wurrent's reputation.

Wurrent may update, change, or take down content on wurrent.com at any time without notice. Links to third-party websites are provided for convenience only — Wurrent does not endorse and is not responsible for the content of linked websites.

All content on wurrent.com — including whitepapers, checklists, frameworks, e-guides, and other downloadable resources — is provided for informational purposes. Downloads are subject to these Terms and Wurrent's intellectual property rights. Resources may not be resold, redistributed, or used in commercial training without written permission.
Section 11
Governing Law & Dispute Resolution

These Terms of Service, and all disputes, claims, or controversies arising out of or in connection with them or with Wurrent's services, are governed exclusively by the laws of the Republic of India.

Applicable Indian laws
  • Indian Contract Act, 1872 — governing the formation, performance, and enforcement of agreements
  • Information Technology Act, 2000 — governing electronic contracts and digital services
  • Digital Personal Data Protection Act, 2023 — governing data handling obligations (see Privacy Policy)
  • Consumer Protection Act, 2019 — applicable where relevant
  • Copyright Act, 1957 — governing intellectual property protections
  • Goods and Services Tax laws — governing applicable tax obligations
Jurisdiction: Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India. Both parties consent to and waive any objection to this jurisdiction.

Dispute resolution process: Before initiating legal proceedings, both parties agree to make a genuine effort to resolve disputes informally. Either party may raise a dispute by providing written notice to the other party. The parties will then attempt to resolve the matter through good-faith negotiation within 30 days of the notice. If not resolved, either party may proceed to formal legal proceedings in the courts of Bengaluru.

Wurrent does not consent to the jurisdiction of any court outside India for disputes related to these Terms or its services.
